These Terms of Service ("Terms") govern your access to and use of the managed IT services, website, and related offerings provided by CyberDental Group LLC ("CyberDental," "we," "us," or "our"). By subscribing to or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website at cyberdental.cloud, creating an account, or subscribing to any of our service plans, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a dental practice or other business entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you must discontinue use of our services immediately.

2. Service Description

CyberDental Group LLC provides managed IT services tailored specifically for dental practices. Our services include, but are not limited to:

24/7 remote IT support via phone, email, and remote desktop.
On-site technical support for eligible plan tiers (Priority and Ultimate plans).
Network monitoring, maintenance, and proactive security management.
HIPAA compliance assistance, including risk assessments and BAA execution.
Hardware and software procurement consultation.
Cloud backup and disaster recovery solutions.
Integration support for practice management software (Dentrix, Eaglesoft, Open Dental, etc.).

The specific scope of services depends on your selected subscription plan. Service details are outlined on our pricing page and in your service agreement.

3. Account Responsibilities

When you create an account with CyberDental, you agree to:

Provide accurate, current, and complete information during registration and keep it updated.
Maintain the security of your account credentials and promptly notify us of any unauthorized access.
Accept responsibility for all activities that occur under your account.
Ensure that authorized personnel at your practice are identified and documented for support access.
Provide our technicians with reasonable and timely access to systems, networks, and facilities as required to deliver services.

4. Payment Terms

All services are billed on a recurring monthly basis unless otherwise specified in a written agreement. By subscribing, you agree to the following:

Billing Cycle: Subscriptions are billed on the first of each month. Your first invoice is prorated from the date of activation.
Payment Methods: We accept credit/debit cards, ACH bank transfers, and wire transfers. All payments are processed securely through Stripe.
Late Payments: Invoices not paid within 15 days of the due date may incur a late fee of 1.5% per month on the outstanding balance.
Taxes: All fees are exclusive of applicable taxes. You are responsible for any sales tax, use tax, or similar charges imposed by your jurisdiction.
Price Changes: We reserve the right to adjust pricing with 30 days' written notice. Existing subscribers are locked into their current rate for the remainder of their billing cycle.

5. Intellectual Property

All content, materials, software, scripts, tools, and documentation provided by CyberDental, including but not limited to our website, client portal, monitoring dashboards, and proprietary automation scripts, are the intellectual property of CyberDental Group LLC and are protected by United States copyright, trademark, and trade secret laws.

You may not:

Copy, modify, distribute, or create derivative works from our proprietary materials.
Reverse-engineer, decompile, or disassemble any software or tools provided as part of our services.
Use our trademarks, logos, or branding without prior written consent.

You retain full ownership of your data. We claim no intellectual property rights over your practice data, patient records, or business information.

6. Limitation of Liability

To the maximum extent permitted by applicable law, CyberDental Group LLC shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunity.
Damages arising from circumstances beyond our reasonable control, including force majeure events, third-party service outages, internet disruptions, or acts of cybercrime.
Issues resulting from your failure to maintain adequate backups, update software, or follow our security recommendations.

Our total aggregate liability under these Terms shall not exceed the amount you paid for services during the twelve (12) months immediately preceding the event giving rise to the claim.

7. Termination

Either party may terminate the service agreement at any time with 30 days' written notice. CyberDental reserves the right to suspend or terminate your access immediately if:

You breach any material provision of these Terms.
Your account remains delinquent for more than 30 days.
You engage in conduct that is harmful to our systems, other clients, or our reputation.

Upon termination, we will provide a reasonable transition period (typically 30 days) to assist with migrating your data and services to an alternative provider. Data retention and export options are detailed in our Cancellation Policy.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

Before initiating any legal proceedings, both parties agree to attempt in good faith to resolve disputes through informal negotiation for a period of at least 30 days.
